Some Ideas, Inc. (“Backlot,” “we,” “us,” or “our”) provides our services and related content to you through our website(s) and through our mobile applications and related technologies (the “Service”).
All access to and use of the Service is subject to the terms and conditions contained in these Terms of Service. By accessing, browsing, downloading, registering for, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you may not access or use the Service.
We reserve the right to change or modify these Terms at any time. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE ARBITRATION AGREEMENT REQUIRES THAT YOU SUBMIT CLAIMS AGAINST US TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS.

The Service is a social networking mobile application that enables users to create and share movie reviews, ratings, and related content with other users, including displaying shared content on friends' devices depending on their settings and device capabilities.
You may be required to register and provide certain information to access and use features of the Service. You agree to provide accurate, current, and complete information.
If you are under 13 years of age, you are not authorized to use the Service. If you are under 18, you may use the Service only with the approval of a parent or legal guardian.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice.
You are solely responsible for any content you upload, post, publish, or transmit through the Service. We reserve the right to remove content, suspend or terminate accounts, and report to law enforcement.
Share unlawful, threatening, abusive, or hateful content.
Interfere with or disrupt the Service.
Violate any applicable law or regulation.
Impersonate any person or entity.
Harvest contact information of other users.
Engage in data mining, scraping, or crawling.
The Service may contain content protected by intellectual property laws. You agree not to modify, copy, distribute, sell, or create derivative works based on the Service or Service Content.
You represent and warrant that you own or have the necessary rights to your User Content. You grant Backlot a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, display, distribute, and otherwise use your User Content in connection with operating the Service.
You assume all risk associated with your User Content and are solely responsible for its accuracy, quality, legality, and appropriateness.
Our name and logos are our trademarks. Nothing in these Terms grants you a license to use Backlot Trademarks without our prior written permission.
We respect the intellectual property of others. If you believe your work has been infringed, please send a DMCA notice to our Copyright Agent at justin@someideas.co with the subject “DMCA Takedown Request.”
We may terminate accounts of repeat infringers in appropriate circumstances.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Mobile App on devices you own or control, solely for your personal use.
The technology and software underlying the Service are owned by Backlot and/or its licensors. You agree not to copy, modify, reverse engineer, or decompile the Software.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BACKLOT PARTIES DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BACKLOT PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
IN NO EVENT WILL THE BACKLOT PARTIES' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO BACKLOT IN THE LAST SIX MONTHS, OR ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Backlot, its affiliates, and their officers, employees, and agents from any claims, losses, damages, or expenses arising out of your use of the Service, your User Content, or your violation of these Terms.
Any dispute or claim between you and Backlot arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration, rather than in court, except you may assert individual claims in small claims court if eligible.
You and Backlot agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative action.
Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules. Unless otherwise agreed, hearings will take place in San Francisco, California.
We may suspend or terminate your account or access to the Service at any time for any reason, including suspected violations of these Terms. We may delete content and account information as permitted by law.
These Terms are the entire agreement between you and Backlot regarding the Service. These Terms are governed by the laws of the State of California. For disputes not subject to arbitration, you and Backlot submit to the exclusive jurisdiction of courts in San Francisco, California.
